These Terms and Conditions ("Terms") govern your access to and use of RevSplitPay, including the web application at app.revsplitpay.com and any related pages, emails and services (together, the "Service"). The Service is operated by RevSplitPay Limited, a company registered in Ireland ("RevSplitPay", "we", "our" or "us").
Please read these Terms carefully. They include important provisions on fees, payouts, limitation of liability and governing law.
1. Acceptance of Terms
By creating an account, joining a workspace, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, you may not access or use the Service.
These Terms apply to all users, including business owners, administrators, team members (such as sales managers, closers, setters, partners and staff), viewers, employees, collaborators and any other individuals who access the platform.
If you use the Service on behalf of a business or other organisation, you confirm that you have authority to bind that organisation to these Terms, and "you" includes that organisation.
2. Definitions
- Business: an organisation that creates a workspace on the Service to sell its products or services and pay its team.
- Owner: the person who created the workspace and is responsible for it and its billing.
- Team Member: a person invited to a workspace (for example an admin, sales manager, closer, setter, partner, staff member or viewer).
- Customer: a person or company that buys from a Business through a checkout link, payment plan or other payment page created with the Service. Customers are the Business's customers, not ours.
- Payment Provider: the third-party payment service a Business uses through the Service, currently Stripe or Whop.
- Commission: the share of a Customer payment that a Business assigns to a Team Member.
- Plan: the subscription plan a Business holds for the Service (for example Starter, Growth or Scale).
3. Description of Service
RevSplitPay is a secure, multi-tenant revenue-splitting, commission and payout platform. It allows Businesses to:
- create products and checkout links for one-time payments, recurring subscriptions, instalments and custom payment plans;
- assign the Team Members who worked each sale and the Commission each one earns;
- have Commissions calculated automatically and paid out to Team Members' own payout accounts through the Payment Provider;
- manage team members, roles and commission rates;
- receive and pay invoices and payment requests from Team Members;
- give awards and bonuses, set award rules and commission boosts, and show achievements, performance tiers and a leaderboard;
- track sales, deals, refunds, failed payments and payouts;
- connect integrations such as Slack and custom webhooks.
The Service is a software tool. RevSplitPay is not a bank, money transmitter or payment institution, and is not a party to the sale between a Business and its Customers. Payments are processed, held and paid out by the Payment Provider under its own terms (see section 7).
The Service is provided "as is" and may be updated, modified or discontinued at any time with reasonable notice. Features available to a Business depend on its Plan.
4. Eligibility
You must be at least 18 years of age and have the legal authority to enter into binding contracts to use RevSplitPay. By using the Service, you represent and warrant that you meet these requirements.
Businesses using the platform must be duly organised and in good standing under applicable laws, and must be able to open and maintain an account with a supported Payment Provider. Team Members who receive payouts must be able to open a payout account with the Payment Provider in a supported country (see section 7.4).
5. Account Registration and Security
You may register using Google sign-in, email or other supported authentication methods. You agree to provide accurate information and keep it up to date. You are responsible for:
- maintaining the confidentiality of your account credentials;
- all activities that occur under your account;
- notifying us immediately at revsplitpay@gmail.com of any unauthorised access or security breach.
Owners and admins are responsible for who they invite to their workspace, the roles they assign, and removing people who should no longer have access.
We reserve the right to suspend or terminate accounts that we believe have been compromised or used in violation of these Terms.
6. Plans, Subscriptions and Fees
6.1 Plans
Access to the Service requires an active Plan. Each Plan includes a monthly sales limit, a number of Team Members ("seats") and a set of features, as shown on our pricing and billing pages at the time you subscribe. A Business may sell above $2,000,000 a month under a separately agreed Enterprise arrangement.
6.2 Billing
- Plan fees are billed monthly in advance, in US dollars, to the payment method on file, through Stripe.
- By subscribing, you authorise us to charge your designated payment method on a recurring basis.
- Subscriptions renew automatically each month unless cancelled before the renewal date.
- Prices exclude any taxes that may apply. Where we are required to charge tax, it will be added to your bill.
6.3 Seats (team members)
- Each Plan includes a number of seats. The Owner never uses a seat.
- When a Team Member joins and all included and paid seats are in use, an extra seat is added at the price shown (currently $25 per month). It is charged in full when the person joins.
- A paid seat remains paid until the next renewal and can be reused if someone leaves.
- At each renewal, extra seats are billed for the team as it is on that date.
- Only the Owner or an admin can add a paid seat.
6.4 Free trials and promotional codes
- Free trials are offered only through promotional codes we issue. A valid payment method is required to start a trial.
- Each payment card may be used for one free trial only, and a trial is not available to a Business that previously held a subscription.
- Unless you cancel before the trial ends, your payment method will be charged for the Plan when the trial ends. We will remind you before the trial ends.
- Discount codes reduce the Plan fee (including extra seats) for the period stated with the code.
- Codes are issued at our discretion, may expire, may be limited in number, cannot be exchanged for cash, and may be withdrawn if misused.
6.5 Changing Plans
- Upgrades take effect immediately. You are charged the difference for the remainder of the current billing month, with credit for unused time on your previous Plan.
- Downgrades take effect at the next renewal. A downgrade may be refused while your sales in the current billing month exceed the lower Plan's limit.
- The amount to be charged is shown before you confirm any change.
- We may correct or change a Business's Plan on its behalf (for example after an agreement with you). Any resulting price change applies from the next bill.
6.6 Sales limits and pausing
- We notify the Owner when a Business reaches 80% and 90% of its Plan's monthly sales limit.
- On Plans with a hard limit (currently Starter and Growth), when the limit is reached the workspace is paused until the Business upgrades.
- If, at renewal, a Business's sales in the billing month exceeded its Plan's limit, it is moved up to the Plan that fits those sales, at that Plan's price.
- We never move a Business down to a lower Plan automatically.
A workspace may also be paused when:
- no Plan is active (for example after a free period or a cancellation ends);
- a Plan payment remains unpaid after a grace period.
While a workspace is paused:
- new deals, checkout links, invoices and invites cannot be created;
- existing pages and records remain accessible;
- payments already in progress (existing checkout links, subscriptions, instalments and payment plans) continue;
- Commissions and payouts continue to be processed.
The workspace is reactivated as soon as the cause is resolved, for example by choosing a Plan, upgrading or paying the outstanding amount.
6.7 Failed Plan payments
If a Plan payment fails, we notify the Owner and retry. If the payment remains unpaid after the grace period shown in the Service, the workspace is paused as described in section 6.6. You remain responsible for amounts due.
6.8 Cancellation and refunds
- The Owner may cancel at any time from the Billing page. The Plan remains active until the end of the billing month already paid. No further Plan fee is charged after cancellation, and the workspace is then paused until a Plan is chosen again.
- Fees are non-refundable, including for partial billing periods and unused seats, unless required by applicable law.
6.9 Platform fees on payments
In addition to Plan fees, RevSplitPay charges the following platform fees, which are deducted automatically at the time of each payment:
- Commissions: a percentage of each Commission paid to a Team Member, currently 2.9%. No platform fee is charged on the share of a payment that remains with the Business.
- Invoices, payment requests and paid awards paid through the Service: currently 0.5% of the amount.
- Payment Provider fees (card processing, bank transfer and other fees charged by Stripe or Whop) apply in addition and are deducted as set by that Payment Provider.
The fee that applies to a payment is the one in effect when the payment is made. Details of the fee on each Commission, invoice and award are shown in the relevant details view in the Service.
6.10 Price and fee changes
We may change Plan prices, seat prices and platform fees with at least 30 days' advance notice by email or in the Service. Changes apply from your next billing period (for Plan and seat prices) or from the effective date stated (for platform fees). If you do not agree to a change, you may cancel before it takes effect.
6.11 Businesses that joined before October 18, 2026
Businesses that subscribed under our earlier usage-based billing were moved to the current Plans with a free period until a date communicated to them. No charge is made until the Business chooses a Plan. If no Plan is chosen by that date, the workspace is paused as described in section 6.6.
7. Payments, Payouts and Payment Providers
7.1 Payment Providers
Each Business chooses one Payment Provider to take payments: Stripe (using Stripe Connect) or Whop. By using payment and payout features, you agree to the Payment Provider's terms, including Stripe's Connected Account Agreement and Services Agreement, or Whop's terms, and their privacy policies.
RevSplitPay is not responsible for delays, failures, holds, reserves, verification requirements or errors originating with a Payment Provider's infrastructure or decisions. Payout timelines are subject to the Payment Provider's processing schedules and applicable regulations.
7.2 The Business and its Customers
- The Business is the seller to its Customers and is solely responsible for its products and services, its prices, its own terms and refund policy, and compliance with consumer protection, tax and other laws that apply to its sales.
- The Business is responsible for configuring each checkout link, subscription, instalment plan and payment plan correctly: amounts, dates, number of payments, end dates and the people and percentages assigned. The Service carries out payments exactly as configured. For example, a subscription with an end date stops on that date, before any payment due later that day.
- Where a payment plan or subscription charges a Customer's saved payment method on a schedule, the Business is responsible for obtaining and honouring the Customer's authorisation. The Service presents the schedule to the Customer before they pay.
7.3 Commissions
- Commissions are calculated from each Customer payment using the participants and percentages recorded when the checkout link or sale was created. Later changes to a Team Member's role or rate do not rewrite past transactions.
- The Business is responsible for the commission arrangements it sets and for any agreement with its Team Members. RevSplitPay is not the employer or agent of any Team Member and is not a party to agreements between a Business and its Team Members.
- Businesses and Team Members are each responsible for their own taxes and reporting on amounts paid and received.
7.4 Payouts to Team Members
- Commissions are paid to each Team Member's own payout account with the Business's Payment Provider. Team Members must complete the Payment Provider's onboarding and verification.
- With Stripe, Team Members' payout accounts must be in a country supported for our platform (currently the United States, the United Kingdom, the EU/EEA, Canada and Switzerland). Supported countries may change.
- Commissions are held for 7 days after the Customer's payment before payout, to allow for refunds and disputes. The Payment Provider may apply longer holds.
- RevSplitPay may, at its discretion and subject to limits, pay Commissions before the hold ends ("early pay"). Early pay is not guaranteed.
- If a payout fails (for example because of incorrect bank details), it may be retried once the Team Member has fixed their payout account.
7.5 Refunds, disputes and reversals
- The Business is responsible for refunds and disputes (chargebacks) with its Customers. The Payment Provider may debit the Business's account for refunded or disputed amounts and related fees.
- If a Customer payment is refunded or disputed:
- Commissions on that payment that have not been paid out may be cancelled;
- Commissions already paid out may be reversed where the Payment Provider allows.
- Team Members agree to such reversals.
7.6 Failed Customer payments
Where a recurring, instalment or payment-plan charge fails, the Service may retry it and may email the Customer a link to pay. The Business may close the issue or cancel the remaining payments. Cancelled remaining payments cannot be restarted. A new checkout link is needed.
8. Invoices, Payment Requests and Awards
- Team Members may submit invoices and payment requests to their Business through the Service. The Business decides whether to approve, reject or pay them.
- Businesses may give awards and bonuses to Team Members, including cash awards paid through a payment link and awards granted automatically under award rules.
- Payments for invoices and awards are made by the Business to the Team Member through the Payment Provider. The platform fees in section 6.9 apply.
- RevSplitPay is not responsible for the merits of any invoice, award or bonus arrangement between a Business and its Team Members.
9. Acceptable Use
You agree not to use RevSplitPay to:
- violate any applicable laws, regulations or third-party rights;
- process transactions for illegal goods, services or activities, or for any business or activity prohibited by your Payment Provider;
- engage in money laundering, fraud or any deceptive practices, including misleading Customers about prices, recurring charges or payment schedules;
- attempt to gain unauthorised access to other accounts or systems;
- transmit malicious code, viruses or harmful content;
- interfere with or disrupt the integrity or performance of the Service;
- reverse engineer, decompile or disassemble any part of the platform;
- send unsolicited messages through any integration or use the Service to harass anyone.
10. Third-Party Services and Integrations
The Service relies on and connects to third-party services, including:
- Payment Providers;
- our authentication, hosting, database and email providers;
- integrations you choose to connect, such as Slack and custom webhooks.
When you connect an integration, you instruct us to send the relevant data to it. Third-party services are governed by their own terms, and we are not responsible for them.
11. Intellectual Property
All content, features, functionality, branding and technology on the RevSplitPay platform are the exclusive property of RevSplitPay and its licensors. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during your subscription. No licence is granted to copy, modify, distribute, sell or sublicense any part of the Service.
12. User-Generated Content and Public Profiles
- Any content you submit to the platform (business names, products, configurations, messages, invoices, notes and similar) remains your property. By submitting content, you grant RevSplitPay a non-exclusive, royalty-free licence to use, store and process that content solely to provide the Service. You represent that you have all rights necessary to grant this licence.
- Team Members may choose to share a public profile page showing their verified results, rank and badges. Information on a shared profile is visible to anyone with the link. You can stop sharing it at any time.
13. Data Protection
Our Privacy Policy explains how we collect and use personal data.
Where a Business uses the Service to process personal data of its Customers and Team Members, such as names, emails, sales and commission records:
- the Business is responsible for having a lawful basis for that processing and for providing any required notices;
- we process that data on the Business's behalf to provide the Service, as described in the Privacy Policy.
14. Limitation of Liability
To the maximum extent permitted by applicable law, RevSplitPay and its officers, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or in connection with your use of the Service, including:
- loss of revenue, loss of profits or loss of data;
- amounts lost through a Payment Provider;
- amounts lost through a configuration error made by a user.
Our total liability for any claim arising from use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
Nothing in these Terms limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence.
15. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure or free of viruses. We make no representations regarding the accuracy or completeness of any content on the platform. Calculations depend on the information and settings you provide.
16. Indemnification
You agree to indemnify, defend and hold harmless RevSplitPay and its affiliates, officers, directors and employees from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of:
- your use of the Service;
- your violation of these Terms;
- your sales to Customers;
- your arrangements with Team Members;
- your violation of any third-party rights.
17. Suspension and Termination
- We may suspend or terminate your access to the Service, with or without cause, with reasonable notice. We may do so immediately where required for security, legal or risk reasons, for non-payment, or for a breach of these Terms or of a Payment Provider's terms.
- You may stop using the Service and cancel your Plan at any time (see section 6.8). The Owner may request deletion of the workspace.
- Upon termination, your right to use the Service ceases. Records of payments, Commissions and payouts may be retained as required by law and as described in the Privacy Policy. Payments and payouts already in progress may be completed or reversed according to the Payment Provider's rules.
- Provisions of these Terms that by their nature should survive termination shall survive, including fees owed, intellectual property, disclaimers, indemnification and limitation of liability.
18. Governing Law and Disputes
These Terms are governed by the laws of Ireland. The courts of Ireland have jurisdiction over any dispute arising from these Terms or your use of the Service. If you are a consumer, you also keep any rights and protections that the laws of your country of residence give you.
Before starting proceedings, please contact us so we can try to resolve the matter informally.
19. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by email or a platform notification at least 14 days before the changes take effect. Price and fee changes follow section 6.10.
Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. The current version is always available in the Service.
20. General
- If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
- Our failure to enforce a right is not a waiver of it.
- You may not transfer your rights under these Terms without our consent. We may transfer ours as part of a merger, acquisition or sale of assets.
- These Terms, together with the Privacy Policy, Cookie Policy and any order or pricing terms shown at purchase, are the entire agreement between you and us about the Service.
